
PIONEER AUTO CLUB
By-Laws
ARTICLE
I. NAME AND ADDRESS
1. The
name of this organization shall be the PIONEER AUTO CLUB (PAC).
2. The address of this organization
shall be the address of a PAC officer or a U S Post office box.
ARTICLE
II.
PURPOSE
1. The purpose of this organization
shall be to promote the preservation or restoration of motor vehicles for the
pleasure and benefit of the members of the organization and the people of

III.
MEMBERSHIP
1. There
shall be two classes of membership which shall be “General Member”
&
“Honorary Life Member.”
2. General
Member
a. This is a person interested in supporting
the purpose of this organization.
b. Must pay annual dues. c. Shall be entitled to vote and hold office in
this organization.
d. Shall be entitled to attend and participate
in all activities of this organization.
3. Honorary
Life Member.
a. This shall be a person who has
performed outstanding service to the
b. Honorary Life Membership shall be
conferred by a majority vote of the members present.
c. Shall not be required to pay annual
dues.
d. Shall be entitled to vote and hold
any office of this organization.
e. Shall be entitled to attend and
participate in all activities of this organization.
ARTICLE
IV. DUES.
1. Dues
shall be paid by all “General Members”.
2. The
dues shall be $20.00 per year.
3. The dues for the calendar year or
any portion thereof, shall be due January 1st of the current year
and if unpaid by March 1 of the current year shall be considered delinquent.
4. Members with unpaid dues shall not
vote, hold office, or participate in any activity of this organization.
5. Other
than dues, the members shall not be assessed.
6. Former
members shall be reinstated any time by paying the current year annual dues.
ARTICLE
V. MEETINGS
1. The annual meeting of this
organization shall be in January of each year at a time and place designated by
the president.
2. All members shall be given a
minimum ten days advance written notice of the time and place designated for
the annual meeting.
3. The annual meeting may be adjourned
or postponed by a majority of a quorum present at such annual meeting.
4. The purpose of the annual meeting
shall be to elect and install officers for the current calendar year, receive any
reports from the officers or members covering the preceding year, and take care
of such other business as may be brought before the members present.
5. Regular meetings shall be held once
each month at a time and place designated from time to time by the membership.
6. All members shall be given advance
notice of the time and place designated for regular meetings.
7. A quorum, at any annual or regular
meeting shall be a majority of the members entitled to vote that are present at
such meeting.
8. All business of this organization
shall be resolved by a majority vote of a quorum at the annual meeting or any
regular meeting.
ARTICLE
VI. OFFICERS
1. There shall be elected at the
annual meeting, a president, a vice president, a secretary, a treasurer and a sergeant
at arms
2. There shall be such other officers
as the president may at his discretion appoint.
ARTICLES
VII. POWERS AND DUTIES OF OFFICERS.
1. President
a. Shall be chief executive officer of
the origination.
b. Shall conduct all meetings of the
organization.
c. Shall appoint and empower such
officers and committees as deemed appropriate.
d. Shall annually, by March 1, appoint
a three member committee to audit the financial records of PAC. Such audit
committee shall prepare a report of the prior year receipts and disbursements and
a summary report of PAC assets and liabilities as of the prior December 31.
2. Vice
President
a. Shall assist the president in the
performance of his duties.
b. Shall assume the powers and duties
of the president in the President’s absence.
c. Shall nominate and accept
nominations for Honorary Life Membership. Honorary Life Membership nominations shall
be presented at the September meeting, voted on by private ballot at the November
meeting, and be awarded at the annual meeting.
3. Secretary.
a.
Shall keep a written record of
each meeting of the organization.
b. Shall cause to be published as of
April 1st of each year, a complete list of members.
c. Shall assume the powers and duties
of the president in his absence and the absence of the vice president.
d. Shall establish and maintain an
archive of PAC organizational history, honorary life memberships, significant
events, and activities of special interest.
4. Treasurer.
a. Shall account for all monies of the
organization.
b. Shall disburse the organization’s
funds as ordered by action of the members.
c. Shall maintain a record of all
collections and disbursements, and this record shall be open and available at
all times for inspection by any member of the organization.
d. Shall maintain a membership application
file which will show among other things:
1. Type of membership.
2. Name of member.
3. Address and telephone number of the
member (optional).
4. Name of the members spouse, if any
(optional).
e. Shall maintain a record of all
properties of the organization, if any, and their location.
f. Shall report the financial
transactions and condition of the organization at each meeting.
g. Shall assume the powers and duties
of the president in his absence or the absence of the vice president or the secretary.
5. Sergeant
at Arms
a. Shall maintain order as the President
may direct
b. Shall see that physical
arrangements are in proper order for each meeting.
ARTICLE
VIII. ACTIVITIES
1. This organization may sponsor,
conduct, or participate in parades, car tours, car shows, swap meets, picnics,
parties, or any other activity approved by the membership.
2. PAC funds may be used only for member
and vehicle related activities consistent with the PAC Purpose as stated in
Article II of these By-Laws.
3. This organization shall not be
required to give any of its funds to any charitable or any other organization.
4. This organization shall not engage
in any activity supporting any political candidate or party.
Article IX.
Indemnification of Officers, and Members; Insurance.
1.
PAC shall indemnify any officer or
member who was or is a party or is threatened to be made a party to any
threatened pending or completed action if they acted in good faith and in a
manner they reasonably believed to be in or not opposed to the best interests
of PAC and, with respect to any criminal action or proceeding, had no
reasonable cause to believe their conduct was unlawful.
2.
PAC
may purchase and maintain insurance on behalf of any person who is or was an
officer, or member of PAC against any liability asserted against them and
incurred by them in any such capacity, or arising out of their status as such
whether or not PAC would have the power to indemnify them against such
liability under the provisions of this Article.
ARTICLE
X. EFFECT AND AMENDMENT.
1. These By-Laws shall be effective
upon approval and execution by the charter members of the Pioneer Auto Club,
who are, Harvey C Larson, Dale A. Nordstrom, Robert N. Campbell, Charles C.
Tracy, Albert C.(Bucky) Bertsch, Clarion E. Larson,
John Beck, R.D. Bowman, Robert O. Heskin, Berk Strothman, Loel Nelson, and Carroll J.Rumple.
Approved and executed at Bismarck, N Dak on December
31st 1977.
2.
These By-Laws may be amended
at any meeting by majority vote of a quorum present. However, the proposed amendment must first be
introduced in writing, and each member must be informed by mail 30 days prior
to such a meeting of the content of the proposed amendment.
3.
A PAC By-Laws amendment
proposed by a committee including Joe LaFave, Harvey Larson, Tim Heisler, Eldy Herman, Jim Hopfauf, Rich Goetzfried, Don Erhardt and Sam Wangler, was approved by the membership at
Bismarck ND on April 16th, 1998.
4. A PAC By-Laws amendment proposed by a committee including Joe LaFave,
Betty Baepple, Steve Ellefson, Pat S. Fricke, Eldy Herman, Dale Speckmann, and Sam Wangler, and approved
and executed at Bismarck, ND on January 17, 2008.
